1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Connekto ("Platform"), a WhatsApp Business API SaaS product operated by Nrootz Digi, Kochi, Kerala, India ("we", "us", "our"). By registering an account or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

2. Description of Service

Connekto provides the following services via the official Meta WhatsApp Business API:

• Shared multi-agent team inbox for WhatsApp
• Message automation, chatbots, and workflow builders
• Broadcast campaign messaging to opted-in contacts
• WhatsApp template message management and approval
• Contact management, tagging, and segmentation
• Analytics, reporting, and team performance dashboards
• Integration with third-party CRMs and tools via API and webhooks

3. WhatsApp & Meta Compliance

By using Connekto, you acknowledge and agree to:

• Comply with WhatsApp's Business Policy at all times
• Comply with Meta's Business Tools Terms
• Only send messages to users who have opted in to receive WhatsApp communications from your business
• Not use the Platform for spam, phishing, harassment, or any unlawful communication
• Obtain all necessary regulatory approvals for your messaging activities (e.g., RBI compliance for financial services)
• Use only Meta-approved message templates for outbound initiated messages

4. Account Registration

To use Connekto, you must:

• Provide accurate and complete registration information
• Own or be duly authorised to connect the WhatsApp Business Account linked to your Connekto account
• Maintain the security of your login credentials
• Promptly notify us of any unauthorised access to your account

You are responsible for all activity that occurs under your account.

5. Acceptable Use

You must not use the Platform to:

• Send unsolicited commercial messages (spam) to any recipient
• Distribute malware, viruses, or any malicious code
• Impersonate any person or entity
• Violate any applicable local, national, or international law or regulation
• Harvest or collect contact information without explicit user consent
• Circumvent, disable, or interfere with any security features of the Platform
• Resell or sublicense access to the Platform without prior written consent

6. Fees and Payment

Connekto is offered on a subscription basis. Fees are charged in advance on a monthly or annual cycle. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with 30 days' notice.

7. Data and Privacy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your customer data. By using the Platform, you grant us a limited licence to process that data solely to provide the services.

8. Intellectual Property

All intellectual property rights in the Platform, including software, trademarks, logos, and documentation, are owned by Nrootz Digi or our licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, Nrootz Digi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Platform. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

10. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms, violate Meta's policies, or engage in fraudulent activity. Upon termination, your access will cease and we will delete your data in accordance with our Data Deletion Policy.

11. Modifications

We may revise these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ernakulam, Kerala, India.
